Backlog Operating Co. (“we”) and the company named below (“you”). Month to month. No base fee. We get paid when ads produce signed jobs.

  1. 1. What we do

    We set up and manage Google Search Ads and Google Local Services Ads to produce inbound jobs in your service area. You own the Google Ads account, the Local Services account, and the Google Business Profile. We get admin access. You pay Google directly for ad spend. That spend is not our fee.

  2. 2. How we get paid

    Our fee is 20% of ad-driven signed revenue. Signed revenue means the contract value of jobs you accept, not what you have collected from the customer yet, and not your company’s total sales.

    We invoice on the 1st for the prior calendar month. Payment is due in 7 days by ACH. If an invoice is unpaid on day 8, we pause ads until it is paid. We do not run ads on credit.

  3. 3. What counts as ad-driven

    A job is ad-driven if the first touch was any of:

    • a call to the tracking number on the ads or landing page
    • a form submitted on a page receiving that ad traffic
    • a Local Services Ads call, message, or booking

    If it hit the tracking number, the ad form, or the LSA inbox, it counts. Organic, referral, repeat, and yard-sign work does not. Disputed junk LSA leads (wrong number, solicitor, outside the service area) do not count as leads and are not billed.

  4. 4. Tracking

    We install call tracking (CallRail or equivalent) and unique numbers on ads and landing pages. You give us admin on Google Ads, Local Services Ads, Google Business Profile, the website, and the call-tracking account. You keep a shared inbox so we can see every call, form, and LSA message. No shared inbox, no engagement.

  5. 5. Your follow-up (this is the deal)

    We generate the lead. You close it. During your stated hours:

    • every new call, form, or LSA message gets a human response within 5 minutes
    • a missed call is returned within 5 minutes
    • someone is named as the person who answers; voicemail is not a process

    We look at the inbox. We do not take your word for it. Each week we review leads in, answered, estimates set, jobs signed, and leads ignored. You confirm the signed list. That list is the invoice.

  6. 6. When we pause

    We pause ads — and we will say so in writing — if:

    • an invoice is unpaid on day 8
    • answer rate is under 80% for 7 days
    • more than 3 leads sit untouched overnight

    Ads stay paused until the invoice is paid or the phone is actually answered. We will not keep spending your Google budget into a voicemail box.

  7. 7. What we do not do

    We do not close homeowners. We do not run your crew. We do not promise a number of leads, a cost per lead, or a revenue number. Google’s auction, your market, your prices, and how fast you call back decide results. We do not run Performance Max or other junk inventory unless we both agree in writing.

  8. 8. Term

    Month to month. Either party can end this with 7 days’ written notice. You keep the ad accounts. We keep admin until all invoices are paid, then we step off. You still owe 20% on ad-driven jobs signed before the end date, including jobs that close after notice if the first touch was during the engagement.
